These Terms of Service ("Terms") are a legally binding agreement between you ("you", "Customer", "Client") and Taxolio ("Taxolio", "we", "us", "our"). They govern your access to and use of our website, tools (including the Nexus Checker), and our U.S. sales tax compliance services (together, the "Services").
By accessing or using the Services, or by purchasing a subscription or services plan, you agree to these Terms. If you do not agree, do not use the Services.
Key terms used in these Terms:
• "Services" means the Taxolio website, tools, dashboards, and any managed sales tax compliance services we provide, including nexus review, registrations, filing coordination, and related support.
• "Order" or "Order Form" means the plan, subscription, statement of work, or checkout flow that describes pricing and scope.
• "Customer Data" means information you provide or make available to us, including business information, sales data exports, and tax-related information.
• "Deliverables" means outputs we provide, such as nexus summaries, registration confirmations, filing schedules, and reports.
• "Third-Party Services" means platforms you use or connect (e.g. ecommerce platforms, payment processors, accounting tools, calendar and scheduling tools).
Taxolio provides a managed U.S. sales tax compliance service designed for ecommerce and SaaS businesses. Depending on your Order, Services may include:
• Nexus assessment and scope confirmation
• State registrations (where required)
• Ongoing sales tax return preparation and filing coordination
• Filing calendars and deadline management
• Zero returns where required
• Operational support related to compliance workflows
Your Order controls the exact scope, states, and plan level. If something is not included in your Order, it is not included in the Services.
Taxolio is not a law firm. We do not provide legal advice. Our Services are operational and compliance-oriented and may include information that helps you understand sales tax obligations. You remain responsible for your business decisions, and you should consult your attorney, accountant, or other professional advisors where appropriate.
Tax outcomes depend on your facts and on state rules, which can change. We do not guarantee any specific legal or tax outcome.
You must be at least 18 years old and have authority to bind the business you represent. If you are using the Services on behalf of an entity, you confirm you have authority to accept these Terms for that entity.
Some parts of the Services may require an account. You agree to:
• Provide accurate information
• Keep credentials secure
• Promptly notify us of unauthorised access
You are responsible for activity that occurs under your account.
Taxolio's ability to deliver compliance services depends on timely and accurate inputs. You agree to:
• Provide complete and accurate Customer Data
• Provide requested sales data exports on the agreed schedule
• Notify us of material changes (new entity, new channels, major growth, changes in nexus drivers)
• Review key outputs when requested (e.g. scope confirmations, filings summaries)
If you do not provide required inputs, we may pause Services to avoid submitting inaccurate filings.
If you do not respond to requests for required information, approvals, or data, we may place your account on hold to protect you and us from filing inaccuracies. Our standard escalation approach may include reminders, hold status, and suspension of filings when required inputs are missing.
Pricing and plan terms are described in your Order. Unless otherwise stated:
• Fees are billed in advance on a recurring subscription basis
• Additional states or services increase fees as shown in your pricing configuration
• All fees are non-refundable except where required by law or expressly stated in the Order
Taxes, levies, and duties are not included unless stated. You are responsible for taxes applicable to your purchases.
Payments are processed via Stripe or another payment provider. If you request to be billed or charged in USD, this may be available depending on your account configuration and Stripe capabilities.
Refunds are handled according to your Order. If you believe a billing error occurred, contact us promptly with the invoice details. We may require supporting information to investigate.
We may update the Services to improve performance, security, or functionality. We may add or remove features, provided this does not materially reduce paid-for Services without notice. We may also change these Terms as described in Section 18.
Your use of Third-Party Services is governed by their terms. If the Services rely on exports or integrations from Third-Party Services, you are responsible for maintaining access and permissions. We are not responsible for third-party outages, errors, or changes that affect data availability.
Customer Data, including sales and tax-related information, is confidential. We will use it only to provide and administer the Services and as described in our Privacy Policy. You agree to treat Taxolio's non-public materials, pricing, and processes as confidential.
Our Privacy Policy explains how we collect and use personal data. By using the Services, you acknowledge our data practices. Where we process personal data on your behalf, we will do so in line with applicable data protection obligations.
Taxolio owns the Services, including software, templates, text, branding, and underlying methods, except for Customer Data. We grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the term of your subscription.
You may not copy, modify, reverse engineer, or resell the Services, except as permitted by law.
You agree not to misuse the Services. This includes:
• Attempting to access systems or data without authorisation
• Interfering with or disrupting the Services
• Using the Services to violate laws or third-party rights
• Uploading malicious code
We may suspend access if we reasonably believe misuse is occurring.
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
Sales tax rules can be complex and may change. While we aim to provide reliable operations, you remain responsible for your business compliance and decisions.
To the maximum extent permitted by law:
• Taxolio will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.
• Taxolio's aggregate liability arising out of or relating to the Services will not exceed the fees paid by you to Taxolio for the Services giving rise to the claim in the twelve (12) months prior to the event.
Nothing in these Terms limits liability that cannot be limited by law.
You agree to indemnify and hold harmless Taxolio from claims arising from:
• Your breach of these Terms
• Your misuse of the Services
• Customer Data you provide (including if it infringes third-party rights)
• Your compliance decisions and actions outside the scope of the Services
We may suspend Services if required inputs are missing, if we suspect misuse, or if fees are overdue.
You may cancel your subscription according to your plan terms. On termination, your right to use the Services ends. Sections that by their nature should survive will survive, including confidentiality, disclaimers, limitation of liability, and indemnity.
These Terms are governed by the laws of the United Kingdom, without regard to conflict of law principles. Courts located in England and Wales will have exclusive jurisdiction, except where prohibited by law.
